Terms & Conditions of Sale

TERMS & CONDITIONS OF SALE

**Effective Date:** August 2, 2026

These Terms & Conditions of Sale ("Agreement") govern all quotations, sales, rentals, rent-to-own agreements, deliveries, and related transactions between **USA Container Pros** ("Company," "we," "our," or "us") and the customer ("Customer," "you," or "your").

By placing an order, paying a deposit, signing a sales agreement, or accepting delivery of a container, you acknowledge that you have read and agree to these Terms & Conditions.

1. Orders and Quotes

All quotations are non-binding until accepted by the Company.

Quotes may be withdrawn or modified without notice prior to acceptance.

Pricing is subject to:

* Inventory availability
* Transportation costs
* Fuel surcharges
* Delivery distance
* Market conditions
* Equipment availability

A quote does not reserve inventory unless specifically stated in writing.

2. Product Descriptions

Container descriptions are based upon industry standards.

Examples include:

* One-Trip
* New
* Cargo Worthy (CW)
* Wind & Water Tight (WWT)
* As-Is
* Refurbished

Minor cosmetic imperfections, scratches, dents, repaired areas, rust discoloration, paint variations, previous markings, and signs of normal use are expected unless otherwise stated.

Photographs are representative examples and may not depict the exact container delivered.

3. Pricing

Prices are subject to change without prior notice.

The final purchase price includes only those products and services specifically identified on the final invoice.

Taxes, permits, special equipment, and additional delivery charges may apply unless expressly included.

4. Deposits

The Company may require a deposit before reserving inventory or scheduling delivery.

Deposits are generally non-refundable after:

* inventory has been reserved,
* transportation has been scheduled,
* customization has begun,
* financing documents have been executed,
* or expenses have been incurred on the Customer's behalf.

Exceptions are made only where required by applicable law or approved in writing by the Company.

5. Payment

Accepted payment methods may include:

* ACH
* Wire transfer
* Certified funds
* Credit card
* Financing
* Rent-to-own arrangements

Full payment (unless financed) must be received before delivery unless otherwise agreed in writing.

Returned checks and failed electronic payments may incur additional fees.

6. Financing

If financing or rent-to-own is offered:

* approval is determined solely by the financing provider;
* financing is not guaranteed;
* interest rates, payment schedules, and approval terms are established by the lender;
* the Company is not responsible for financing decisions.

The Customer agrees to review all financing documents independently before accepting financing.

7. Delivery Requirements

The Customer is solely responsible for ensuring the delivery site is suitable.

The site must provide adequate:

* access
* clearance
* turning radius
* ground stability
* overhead clearance
* width
* unloading area

If the Company's driver determines the location is unsafe, inaccessible, or likely to damage equipment or property, delivery may be postponed or refused.

Additional delivery charges may apply.

8. Site Preparation

Prior to delivery the Customer must:

* obtain all permits
* comply with zoning requirements
* obtain HOA approvals where applicable
* remove obstacles
* identify underground utilities
* provide a level location
* ensure adequate drainage
* notify neighbors when required

Failure to properly prepare the site does not relieve the Customer of payment obligations.

9. Delivery Scheduling

Estimated delivery dates are not guaranteed.

Delivery schedules may be affected by:

* weather
* traffic
* equipment availability
* transportation delays
* supplier delays
* force majeure events

The Company is not liable for delays beyond its reasonable control.

10. Delivery Acceptance

Delivery is considered complete when the container has been unloaded at the Customer's designated location.

The Customer should inspect the container immediately upon delivery.

Any visible concerns should be documented before the delivery driver departs whenever reasonably possible.

Failure to report visible damage promptly may constitute acceptance.

11. Customer Inspection

The Customer is responsible for inspecting:

* doors
* flooring
* locking mechanisms
* roof
* walls
* structural integrity
* visible damage

Acceptance of delivery confirms that the Customer has had an opportunity to inspect the container.

12. Risk of Loss

Ownership and risk of loss transfer to the Customer upon delivery unless otherwise required by law or stated in a written agreement.

The Customer is responsible for protecting the container after delivery.

13. Returns

Because shipping containers are large, custom-delivered products, returns are generally not accepted after delivery except where required by law or expressly approved by the Company.

Custom-modified containers are non-returnable once fabrication has begun.

14. Order Cancellations

Orders may be canceled before shipment subject to:

* administrative fees
* transportation costs already incurred
* reserved inventory costs
* customization expenses
* financing obligations

Cancellation requests must be submitted in writing.

15. Warranty Disclaimer

Except where expressly provided in writing, containers are sold **AS IS**, with any warranties limited to those specifically stated in the sales agreement.

Descriptions such as "Wind & Water Tight" or "Cargo Worthy" refer to the condition of the container at the time of sale and are not guarantees of future performance under all conditions.

The Company disclaims all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by applicable law.

16. Limitation of Liability

To the fullest extent permitted by law, the Company's total liability arising from any transaction shall not exceed the purchase price actually paid for the applicable container.

The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, or loss of use.

17. Customer Responsibility

The Customer is responsible for:

* proper installation
* foundation preparation
* anchoring (if desired or required)
* local code compliance
* obtaining permits
* insurance after delivery
* ongoing maintenance

18. Force Majeure

The Company shall not be liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to:

* severe weather
* flooding
* fire
* labor disputes
* acts of government
* pandemics
* supply chain disruptions
* transportation interruptions
* natural disasters

19. Intellectual Property

All website content, photographs, logos, marketing materials, and designs remain the exclusive property of USA Container Pros unless otherwise stated. No content may be copied, reproduced, or distributed without prior written permission.

20. Governing Law

This Agreement shall be governed by the laws of the State of Oklahoma, without regard to conflict of law principles.

21. Dispute Resolution

The parties agree to make a good-faith effort to resolve disputes through informal negotiations before initiating litigation.

Unless prohibited by applicable law, any legal action arising under this Agreement shall be brought in a court of competent jurisdiction located in Oklahoma.

22. Attorney's Fees

If either party brings legal action to enforce this Agreement, the prevailing party may recover reasonable attorney's fees and court costs to the extent permitted by applicable law.

23. Severability

If any provision of these Terms & Conditions is found to be unenforceable, the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms & Conditions, together with any written sales agreement, invoice, financing documents, and applicable policies referenced by the Company, constitute the entire agreement between the parties regarding the transaction and supersede prior discussions or representations.
